These rules govern the CTAS Course e-commerce platform at course.ctas.vn (the "Platform"), set up and operated by CTA Solution Co., Ltd. under the Law on E-commerce No. 122/2025/QH15, the Law on Protection of Consumer Rights 2023 and their guiding regulations. The Platform is an intermediary: CTA Solution provides the infrastructure for course publishers ("Publishers") to sell online courses to learners ("Buyers"). CTA Solution is not the seller of a Publisher's course, except for courses expressly published by CTAS.

1. Operator

  • Company: CTA Solution Co., Ltd.
  • Enterprise / tax code: 0316683514, issued by the Department of Planning and Investment of Ho Chi Minh City
  • Address: 215 Bach Dang, Hanh Thong Ward, Ho Chi Minh City, Vietnam
  • Email: support@ctasolution.vn

2. General principles

  • Publishers present and sell online courses on the Platform; Buyers read about a course, try its free lessons, pay, and learn on the Platform right after purchase.
  • Every transaction follows Vietnamese law. The price shown at the time of purchase applies, in Vietnamese dong, VAT included where applicable.
  • Publishers are responsible for the content, quality and accuracy of their courses, for intellectual property and for the promises they make to Buyers. CTA Solution reviews every release before it goes on sale; that review does not replace the Publisher's responsibility.
  • Buyers, Publishers and CTA Solution agree to these rules, the CTAS Course terms of use, the payment policy, the complaint procedure and the privacy policy.

3. Who may open a storefront

  • A company or organisation lawfully established in Vietnam, with a tax code, that has applied, been approved by CTA Solution, signed the storefront agreement and holds a valid storefront plan. Individuals and household businesses are not admitted in the first phase.
  • Publishers provide full and accurate identification: name, tax code, registered address, legal representative, phone, email and any licence required where the course falls under a conditional business line. The Platform shows the storefront name and the mandatory details on the storefront page; once guidance on electronic identification (VNeID) is issued, Publishers must complete it.
  • Publishers may only issue learners a certificate of completion in the Publisher's own name. It may be called a "chứng chỉ" (formal certificate) only when the Publisher holds a vocational-training registration (or equivalent licence) verified by CTA Solution, and within that licence's scope. See the terms of use, "Certificates".

4. How a transaction works

  1. Publishing: the Publisher builds the course in CTAS Studio, fills in the store page (name, description, outline, free lessons, price) and submits it for review. A course goes on sale only after approval; the version on sale is a frozen copy that does not change until the Publisher releases a new version and it is approved again.
  2. Browsing: the Buyer reads the course page with its full outline, introduction video, free preview lessons, Publisher details, price and conditions. Buyers are advised to try the free lessons first, because a course is digital content and is not refundable after purchase.
  3. Ordering: the Buyer signs in with a CTAS account, confirms the order, reads and accepts the terms of use and the payment policy (including the no-refund clause and immediate access to the content after payment), then pays.
  4. Payment: through the PayOS gateway (bank transfer, VietQR) into CTA Solution's account. Buyers never pay a Publisher directly.
  5. Delivery: as soon as the payment succeeds the course opens under "My courses" on course.ctas.vn and an order confirmation is emailed. Buyers learn in the browser on any device.
  6. After purchase: Buyers keep access to the version they bought, may review the course after buying it, and may contact the Publisher or CTA Solution for support.

5. Payment and settlement

  • CTA Solution collects payment on the Publisher's behalf, keeps the platform fee set in the storefront agreement and pays all of the rest to the Publisher in a monthly settlement. CTA Solution settles with and pays the Publisher only, never any other third party.
  • Settlement calendar: on the 1st of each month CTA Solution sends the previous month's statement in CTAS Studio; the Publisher agrees, or disputes it with details, by the end of the 4th (no answer counts as agreement); on the 5th undisputed statements are locked and the platform-fee invoice is issued; the money reaches the Publisher by the end of the 10th. A disputed statement is held until CTA Solution has settled it.
  • Co-brand partners: a course may show "Co-branded with" one or more brands verified by CTA Solution. A co-brand partner is not a seller. Any collaboration and revenue share between the Publisher and a co-brand partner is a private arrangement between the two: they sign their own contract and invoice, reconcile and pay each other. CTA Solution is not a party to that arrangement, does not pay or guarantee any share to the brand and does not settle disputes between them; the share rate and figures shown in the system are for their reference only. A co-brand partner is not an affiliate of the Platform: CTA Solution pays the brand no commission or fee, and the Platform runs no affiliate programme.
  • Fee ranges for Publishers (the exact fees are set in each Publisher's agreement, within these ranges): commission 0%–50% of what the Buyer actually pays; storefront plan at most VND 9,990,000 per year (list price currently VND 1,990,000 per year); no listing fee. Buyers pay no platform fee. Any change to these ranges is published here before it applies.
  • Electronic invoices to Buyers are issued as the law on invoices requires; the issuer is named on the order confirmation.
  • Buyer invoicing policy (for orders paid from 2 November 2026): the Publisher is the seller and issues an electronic invoice for every paid order: made out to the Buyer's details when the Buyer asked for an invoice (at checkout or within 24 hours of payment), otherwise a retail invoice marked "Người mua không lấy hóa đơn" (buyer does not take an invoice) as the invoicing rules require — within 7 working days of the Buyer's payment (Saturdays, Sundays and public holidays not counted). The invoice is for exactly what the Buyer paid — after the Buyer's discount code, before the platform fee and any co-brand partner's share, with no discount line; it names the course and the order code, and the buyer as the Buyer entered at checkout. Once issued, the Publisher attaches the invoice (the digitally signed XML file) to the order in CTAS Studio; CTA Solution forwards it to the Buyer's email. The Publisher may connect its own e-invoice account (Viettel SInvoice for now) for the system to draft or issue the invoice as configured, or make the invoice itself and upload the XML. CTA Solution reminds the Publisher before the deadline and follows overdue orders; late invoicing is a breach of these Rules. CTA Solution does not invoice on the Publisher's behalf and is not responsible for the content of the Publisher's invoices.
  • Details in the CTAS Course payment policy.

6. Review and violations

  • Every release is reviewed for a complete store page, lawful content, no infringement of intellectual property, no false promises about learning outcomes, certificates, jobs or income, and compliance with any licence a conditional business line requires.
  • A rejected course goes back to the Publisher with the reason. A course on sale may be taken down when a violation is found or a competent authority so requires; Buyers who already bought it keep learning unless the content must be removed by law.
  • A Publisher in breach may be suspended or terminated under the storefront agreement. CTA Solution gives the Publisher the reason at least 5 days before suspending, terminating or restricting its account; where a competent authority so requires, content is removed and information provided within 24 hours without prior notice.
  • A suspended or terminated Publisher can still download its own data (orders, statements, course content) in CTAS Studio.

Ranking and prominence

  • The course list is sorted by most recent release by default. Buyers may sort by oldest, price ascending, price descending or popular (number of enrolments).
  • The "Featured" shelf on the home page is chosen by CTA Solution for reviewed content quality and relevance to learners; "Newest" and "Free" are sorted by release date.
  • CTA Solution takes no payment to change the display order. Should a paid promotion service be offered, those positions will be labelled "Advertisement" and the criteria published here before it starts.

7. CTA Solution's rights and obligations

  • Run the Platform reliably, secure transaction data, keep order records as required; provide the tools for Publishers to manage courses, prices and discount codes and for Buyers to learn and look up orders.
  • Vet Publishers and courses; receive and help resolve complaints; provide information to competent authorities when the law requires.
  • Refuse or take down courses and suspend storefronts in breach; amend these rules with at least 5 days' notice on the Platform.

8. Publishers' rights and obligations

  • Provide complete, accurate identification; answer for the course content, copyright, marketing claims and content support to Buyers.
  • Never move a Buyer off the Platform to transact, and never charge a Buyer beyond the listed price.
  • Meet tax obligations; receive settlements per period; abide by complaint decisions.
  • When putting a co-brand partner on a course: hold the lawful right to use that brand; sign the contract with, pay, invoice or receive invoices from and meet tax obligations towards the co-brand partner themselves; answer for and indemnify CTA Solution against any claim arising from the relationship between the Publisher and the co-brand partner.

9. Buyers' rights and obligations

  • Receive full information before buying; access purchased courses; have personal data protected; complain under the complaint procedure.
  • Provide accurate information; pay in full; use a course personally, without copying, distributing or sharing the account.

10. Personal data

Buyers' and Publishers' personal data is collected, processed and protected under the privacy policy. A Publisher sees only a learner's display name and progress, to support their learning, and may not use it for anything else.

11. Disputes

Complaints are received at support@ctasolution.vn or the Support form on the Platform, and handled under the complaint and dispute procedure. Disputes that cannot be settled go to the competent authority or court under Vietnamese law.

12. Effect

These rules take effect on the day they are published. CTA Solution may amend them; the amended text is published on the Platform and applies to transactions made after its effective date.
